Can someone please explain why creating 1.32m shares at 10p each will end up clearing £5m debt?
Is he willing to write off some debt (cut his losses) in order to sell off part of his shareholding?

Dilute his shareholding.
Offer Season ticket holders the chance to buy a very small piece of the club, up to a maximum of 1000 shares per year or something.
Wouldn't really mean much as individual but if all season ticket holders bought into it, it could raise 500K+ a year.
There would be loads of folk who'd like to say they're a shareholder, £100 isn't much and there's not likely to be any 'celebration' bricks for sale any time soon.
Be a decent revenue stream.

Will be down to the value of current shares on the balance sheet so they are the same value. To purchase them there will no doubt be a premium that will be reflected in the share premium and equity numbers so you will have to pay £1 per share to purchase for example to raise £1.3m. And no doubt any investors will want a seat on the board.
interestingly it will also dilute the share holding of those that hold the remaining 15% - doubt they are happy about that

So, let me understand this correctly.
Ogren has someone interested in buying into the club, but it's on the proviso that 5M is knocked off the debt levels that are owed (to him).
So, the supporters have to foot this?
Not in my name. Would be delighted to be a DUFC Shareholder in name, but not to effectively wipe the debt he has created himself.
If he expects that he better come out and say with crystal clear detail what his plan is in both the short and long-term and also who is the interested party.

So, you wouldn't pay 100 quid to get rid of the man who you constantly moan about as taking every penny out the club (I don't think that assertion is true, as a side note) AND make yourself a shareholder of dundee united?

My plan if it would even be feasible wasn't about paying off Ogren, just a way of making putting money into the club.
As long as it was reinvested in the club, repairs, fund players etc....and get something in return.
I know he's not keen to have the Foundation/Fed/Trust etc be a major-ish shareholder, but if/when the time comes if his shareholding percentage is diluted, we're a more attractive option for a new buyer who may welcome fans having more of a stake?

I wouldn't pay one penny to clear the debt he has created. He should take that hit himself. Not unless (as I said) he gave the supporters full transparency regards what happens after the shareholding.

Sounds to me like he still wants to be majority shareholder but wants the supporters to wipe out a huge chunk of the debt to allow a new investor.
If folk want to do that, fair enough. I think it's taking the piss.
But I'd like to hear more.

Fans clearing debt he created by not listening to fans and allowing the glorified football agent access to the club's till. Ogren is a a clown, the quicker he's away from the club, the better.
